PFTrack Solo Edition – End User Licence Agreement

IMPORTANT NOTICE: PLEASE READ THIS LICENCE CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. BY INSTALLING OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS LICENCE. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE.

1. Licence Grant

The Pixel Farm Ltd (“Licensor”) hereby grants to the end user (“Licensee”) a personal, non-exclusive, non-transferable, perpetual licence to install and use one copy of the software product known as PFTrack Solo Edition (“the Software”) for the Licensee’s own commercial or non-commercial purposes, subject to the terms of this Agreement.

2. Ownership and Intellectual Property

The Software is licensed, not sold. All intellectual property rights in the Software, including any updates, documentation, and associated materials, remain the exclusive property of The Pixel Farm Ltd. The Licensee acquires no ownership or proprietary rights other than the limited licence expressly granted herein.

3. Restrictions

The Licensee shall not:

  - Copy, reproduce, distribute, or resell the Software, except for one backup copy for archival purposes;

  - Modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;

  - Rent, lease, lend, or otherwise transfer or sublicense the Software or any rights under this Agreement;

  - Remove or obscure any proprietary notices, trademarks, or disclaimers within the Software; or

  - Circumvent, modify, or interfere with any licence management or activation mechanism.

4. Software

To access the Software in Discovery mode or Licensed mode, the Licensee must sign in using an approved third-party identity provider. The Licensee is solely responsible for the confidentiality and security of all login credentials associated with their chosen provider. Use of authentication services is subject to the provider's separate terms and policies, for which the Licensee is responsible for compliance.

The Licensee must not share login information and is responsible for all account activities. If login credentials are compromised or used without authorisation, the Licensee must promptly notify both the relevant identity provider and The Pixel Farm Ltd.

The Pixel Farm Ltd shall not be liable for any loss, damage, or inconvenience resulting from the Licensee’s failure to maintain the security of third-party login credentials.

5. Discovery Mode

The Licensee may use the Software for free in "Discovery Mode" for evaluation, learning, or internal assessment, but some features like data export and scripting are disabled. Discovery Mode can only be used for your own personal learning purposes.

6. Licensed Mode

To unlock all features, purchase a license from within the application. Once unlocked, all Discovery mode restrictions are lifted and the Software may be used in accordance with the full terms of this Agreement.

7. Services

The Licensee acknowledges that use of the Software requires an internet connection to access services operated by or on behalf of The Pixel Farm Ltd. Data necessary for the Software's operation may be transferred to and stored on such servers to fulfil The Pixel Farm’s obligations.

The Licensee is solely responsible for procuring and maintaining all network connections and telecommunications links to The Pixel Farm’s servers, including associated costs, reliability, and security.

The Pixel Farm Ltd shall use commercially reasonable endeavours to ensure services are available, except during planned maintenance or unscheduled downtime resulting from third-party provider outages. The Licensee acknowledges that such interruptions are beyond The Pixel Farm’s control and no guarantee of continuous service availability is made.

8. Support and Maintenance

Non-prioritised support may be provided free of charge via The Pixel Farm’s public support forum at https://www.thepixelfarm.co.uk/group/pftrack-support-community. The Pixel Farm Ltd does not guarantee the availability, response time, or resolution of any support request and reserves the right to withdraw or modify support services at its discretion.

The Pixel Farm may offer free maintenance updates, patches, or performance improvements throughout the license's lifetime.

The Licensee agrees that The Pixel Farm Ltd can, without notice, at any time, add, modify, suspend, or permanently discontinue any software feature, functionality, or component, including disabling services, tools, or integrations.

The Pixel Farm Ltd shall not be liable to the Licensee or to any third party for any loss, damage, or inconvenience resulting from any modification, suspension, or discontinuation of any functionality of the Software, except as required by applicable law.

9. No Warranty

The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, satisfactory quality, fitness for a particular purpose, or non-infringement. The entire risk arising out of the use or performance of the Software remains with the Licensee.

10. Limitation of Liability

In no event shall The Pixel Farm Ltd be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, or data loss, arising out of or in connection with the use or inability to use the Software. The Pixel Farm Ltd’s total liability, whether in contract, tort (including negligence), or otherwise, shall be limited to the amount paid by the Licensee for the Software.

11. Termination

This Licence is effective until terminated. The Pixel Farm Ltd may terminate this Licence immediately upon written notice if the Licensee breaches any term of this Agreement. Upon termination, the Licensee must cease all use of the Software and destroy all copies in its possession.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.

13. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to the Software and supersedes all prior communications, representations, or agreements, whether oral or written.

The Pixel Farm Ltd reserves the right to make changes to this agreement at any time, provided 30 days prior notice is given. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
